Definitions

  • Subscription: Created for each Business associated with a Naqood account.
  • Application: The Naqood accounting program and additional modules.
  • Application Data: Data belonging to the User processed in the Application.
  • User: The person who created a Naqood account.
  • Usage Data: Technical data generated while using the Application.
  • Data Controller: Entity determining purposes and means of processing personal data.
  • Data Processor: Entity processing personal data on behalf of a controller.
  • Naqood Account: Access granted to a User where companies can be created.
  • Personal Data: Information related to an identified or identifiable person.
  • Business: The business whose accounts are processed in the Application.

1. Acceptance of the Terms

1.1 These Terms are accepted when you check "I accept the terms" on the signup form.

1.2 The Terms apply between Naqood LLC, license number 2433159.01, Shams Business Center, Sharjah Media City Free Zone, and you as the User.

1.3 The Application is offered to businesses (B2B). There is no right of withdrawal for subscriptions associated with your Naqood account.

2. Duration of the Naqood Account

2.1 The agreement between the User and Naqood takes effect upon account creation and lasts until the relationship ceases in accordance with these Terms.

3. Application Usage

  • Naqood grants non-exclusive access to the Application for the User and their advisors.
  • The Application must not be used by or for others without permission.
  • Users guarantee they can accept terms on behalf of created businesses.
  • Accounts cannot be transferred without prior written consent.
  • Users must avoid harming Naqood's reputation or violating laws.
  • Users are responsible for the legality of their data and must not transfer harmful code.

4. Price and Payment

  • Prices are available on naqood.ae and stated excluding VAT in AED.
  • Naqood may change products, content, and prices with notice.
  • Subscriptions renew automatically unless terminated.
  • Unless otherwise agreed, subscriptions are invoiced in advance.
  • Entering a subscription allows Naqood to charge the payment card continuously.

5. Application Data

5.1 The User is the Data Controller for Personal Data processed in the Application and owns their content. Naqood may use data to maintain and develop the Application.

5.3 After the user relationship ceases, Naqood may process data only as described above.

5.4 Naqood may grant third parties access to Application Data only in accordance with relevant legislation.

6. Usage Data

6.1 Naqood is the Data Controller for Usage Data if it contains personal data and may use it for statistics and analysis.

7. Operational Stability

Naqood aims for high operational stability but is not responsible for disruptions beyond its control. Planned maintenance is primarily scheduled between 21:00-06:00 GST with prior notice when possible.

8. Termination

  • Users can contact support@naqood.dk to delete their account.
  • Termination during a subscription period does not remove payment obligations.
  • Inactivity may result in accounts being marked inactive.
  • Termination must occur before a new billing period begins.
  • Non-payment may result in immediate suspension.
  • Naqood may terminate with notice or immediately for material breaches.

9. Changes

Naqood may update the Application and the User must keep contact details current.

10. Intellectual Property Rights

All Application content is protected by intellectual property rights belonging to or licensed by Naqood. No rights are transferred to the User.

11. Assignment

Naqood may assign its rights and obligations to a group company or third party.

12. Liability

Naqood disclaims liability for indirect losses. Total liability is limited to the User's payment during the 12 months before the liability event and capped at DKK 10,000.

13. Confidentiality and Data Security

Naqood and its suppliers maintain confidentiality about information obtained regarding the User.

14. Changes to the Terms

Naqood may change these Terms at any time. The latest version is available on our websites.

15. Disputes

Disputes are subject to the exclusive jurisdiction of the Dubai International Financial Centre Courts.

Validity

These terms are valid from October 11th, 2024 and replace all previous versions.
